1. Acceptance
These terms govern use of Felismed, a platform operated by AX9 LLC ("Felismed"). By creating an account, subscribing or using the service, the clinic or its representative ("Customer") accepts these terms. If you accept on behalf of a clinic, you represent that you have authority to bind it.
2. The service
Felismed is management software for outpatient clinics that includes, depending on the plan: a shared schedule for appointments, rooms and equipment; recurring treatment; clinical records; WhatsApp reminders and message inbox; patient intake forms; payment tracking; electronic invoicing (CFDI) and reports. Some features are released in stages.
Felismed is an administrative tool. It does not provide medical services, make diagnoses or replace the professional judgement of healthcare staff.
3. Accounts and users
- The Customer designates an account owner who can invite users and assign permissions.
- Each user must have their own account; credentials are personal and non-transferable.
- The Customer is responsible for activity under its staff accounts and for removing access for anyone who leaves the clinic.
- Notify us immediately of any unauthorized use.
4. Customer obligations
- Maintain its own patient privacy notice and obtain the consents the law requires, including express consent to process health data.
- Obtain patients’ consent before messaging them on WhatsApp and honor opt-out requests.
- Keep clinical records in line with NOM-004-SSA3-2012 and other applicable health regulations.
- Verify that the tax information it enters to issue CFDI is correct.
- Not use Felismed for unlawful purposes, unsolicited advertising or content unrelated to running the clinic.
5. Subscription, pricing and payment
- The service is billed as a monthly subscription. Prices are in Mexican pesos and exclude VAT unless stated otherwise.
- The subscription renews automatically each month until cancelled.
- A Mexican entity we will designate issues a CFDI for each payment using the tax details the Customer provides.
- If payment fails, we may suspend access after at least 7 calendar days’ notice. Data is kept during suspension.
- We may change prices with at least 30 calendar days’ notice.
6. Cancellation and termination
The Customer may cancel at any time by contacting support. Cancellation takes effect at the end of the paid period and does not give rise to prorated refunds unless the law requires otherwise.
After termination the Customer has 30 calendar days to request a copy of its information. After that, we delete the data as described on the Data Deletion page, except data we must keep by law.
7. Data and confidentiality
Data the Customer records in Felismed, including patient data, belongs to the Customer. Felismed processes it as a processor, only to provide the service and as set out in the Privacy Policy.
Both parties will keep confidential any information of the other party they access through the service.
8. Third-party services
Some features depend on third parties such as Meta’s WhatsApp Business Platform or the authorized provider that stamps CFDI. Their use is also subject to those third parties’ terms. Felismed is not responsible for outages or changes attributable to them.
9. Availability and support
We make reasonable efforts to keep Felismed continuously available, except for scheduled maintenance, which we announce in advance where possible. Support is provided in Spanish by email and the channels listed on the Support page.
10. Intellectual property
Felismed, its software, brand, logos and content belong to AX9 LLC or its licensors. The subscription grants the Customer a non-exclusive, non-transferable license for its duration.
11. Limitation of liability
To the extent permitted by law, Felismed’s total liability arising from the service is limited to the amount paid by the Customer in the 12 months before the event giving rise to it. Felismed is not liable for indirect damages, lost profits or clinical decisions made based on recorded information.
12. Changes to these terms
We may change these terms and will give at least 30 calendar days’ notice of material changes. Continued use after that date means acceptance.
13. Governing law and jurisdiction
These terms are governed by the federal laws of the United Mexican States. The parties submit to the competent courts of Mexico City, waiving any other jurisdiction.
